Pulse and Tone FZ-LLC offers its services and equipment for business purposes only. This is a key part of our agreement, ensuring you can make the most of our services for your business needs.

Acceptance

When you electronically sign this agreement, it means you:

• Accept the terms and agree to follow them.
• Confirm you’re at least 18 years old and authorized to enter this agreement on behalf of your organization.
• Understand that if you don’t accept these terms, you and your users cannot install or use our services.

Placing Orders and Agreement Duration

1. Ordering Services

   • You can place orders through the format provided on Pulse and Tone FZ-LLC’s website.
   • Each order will include the services, pricing, start date, and details about any equipment (leased, licensed, or purchased).
   • Your order becomes official when Pulse and Tone FZ-LLC accepts it, and the services begin.

2. Our Services:

   • We offer a range of services, including SIP, VOIP, and Toll-Free Services. Please note, availability may depend on your location.

3. Agreement Term:

   • This agreement starts on the effective date and continues until the final order expires or is terminated earlier based on the terms.

4. Service Term & Automatic Renewal:

   • Services start on the specified start date and continue for the initial term.
   • After the initial term ends, services will automatically renew unless either of us gives a 30-day notice to stop the renewal.

Invoicing & Payments

1. Pricing & Additional Charges:

   • All prices are in the local currency (e.g., Indian Rupees or USD).
   • Extra charges may apply for additional features, services, or if you exceed usage limits.

2. Billing & Payments:

   • All services and equipment must be paid using a valid credit or debit card.
   • When you sign up, you authorize Pulse and Tone FZ-LLC to charge your card for services, equipment, and any extra fees.
   • Recurring charges are billed in advance, while usage-based charges are billed monthly.
   • Payments are due within 30 days of the invoice. Late payments may incur a 1.5% fee per month.

3. Taxes

   • Prices do not include taxes, so you'll be responsible for those.
   • If withholding taxes apply, you'll need to adjust your payment to ensure Pulse and Tone FZ-LLC receives the full amount.

4. Billing Disputes:

   • If you dispute any charges, you must notify us in writing within 30 days of the invoice date.
   • Disputing part of an invoice doesn't relieve you from paying the undisputed portion on time

Providing Our Services

1. General Terms:

   • We’ll provide services as outlined, but we may enhance or change features, keeping the core functions and security intact.

2. Customer Care:

   • You are responsible for providing first-tier support to your users. We’ll be available for second-tier support to help with any technical issues.

3. Managed Services:

   • We offer managed services that you can purchase to complement the existing services you're using with us.

4. Subcontracting

   • Pulse and Tone FZ-LLC may use subcontractors or affiliates to provide services, but we remain responsible for the quality of their work.

Using Our Service

1. Technical Requirements:

   • The services depend on your business maintaining adequate internet access, networks, and power as specified by our guidelines.

2. Use Policies

   • You and your users must follow the terms of this agreement and Pulse and Tone FZ-LLC’s policies.
   • You cannot resell or interfere with our services in any way.

Acceptable Use Policy

1. Compliance

   • Our services must be used according to Pulse and Tone FZ-LLC’s Acceptable Use Policy (which you can find on our website).

2. Immediate Action

   • If we detect illegal activity or policy violations, we may immediately suspend or limit your services to protect our network.

Termination

1. Termination for Cause

   • Either party can terminate the agreement if the other party breaches any major terms and doesn’t fix it within 30 days.

2. Effect of Termination

   • If you terminate due to Pulse and Tone FZ-LLC’s breach, you won’t be liable for any fees after the termination date and will receive a refund for any prepaid charges.
   • If the termination is for other reasons, you'll still need to pay for any outstanding amounts and fees for the remaining term.

Intellectual Property

1. License

   • Pulse and Tone FZ-LLC grants you a non-exclusive, non-transferable license to use any software provided as part of the service.

   • You cannot resell, modify, reverse engineer, or use our software for anything other than what it was provided for.

Confidentiality

We agree to protect each other’s confidential information and use it only for the purpose of fulfilling our responsibilities under this agreement.

Data Protection

   • We’ll handle your data in accordance with our Data Processing Addendum, which outlines how we process your information.

2. Security

   • We take reasonable measures to protect your data and keep it safe.

Indemnification

You agree to indemnify Pulse and Tone FZ-LLC against any third-party claims that arise from your use of our services.

Warranties

1. Pulse and Tone FZ-LLC Warranty:

   • We provide services with reasonable skill and care to meet your business needs.

2. Customer Warranty:

   • You agree to comply with all applicable laws and the terms of this agreement when using our services.

Dispute Resolution

1. Good Faith Effort:

   • We’ll try to resolve any disputes in a friendly, reasonable manner before taking legal action.

2. Venue

   • Any unresolved disputes will be handled by the courts in San Francisco, California, USA.
